What a company files in Cyprus [CY]

Every entry below is the rule as Cyprus publishes it. It is a reference, not a calendar: where a deadline runs from something only you know, this page says so instead of showing a date.

A template, not your deadline

This is the rule as published by the registry, checked against the primary source on the date shown. It is not your filing date. Where a deadline runs from incorporation, from a fiscal year the company itself elects, or from an event only you know about, no date can be derived here at all — the figure you see is the formula, not the answer. Extensions, transitional regimes and entity-specific exemptions are not reflected. Confirm with the registry before you rely on a date.

How the financial year is setChosen by the company

A Cyprus company's financial year is the accounting period the company itself adopts. The directors must lay a complete set of annual financial statements before the general meeting no later than eighteen months after the incorporation of the company and at least once in every calendar year thereafter, and those statements are filed with the annual return. The Cyprus tax year, by contrast, is the calendar year: the company income tax return for a tax year is submitted fifteen months after the end of that year, and temporary tax is paid in two instalments within the tax year itself. That is why every tax deadline in this record is a calendar date and no obligation here is calculated from the financial year end.

Annual return (form HE32), filed with the company's financial statements

Formula, not a date
Filed to
Department of Registrar of Companies and Intellectual Property (DRCIP), Companies Section
Who it applies to
Every entity in the jurisdiction
Every company on the register files an annual return. The reference date of the first annual return is the day following the expiry of eighteen months from the date of incorporation; the reference date of every later annual return is the date on which one year lapses from the reference date of the last annual return actually filed, so the cycle moves with the company's own filing history and not with the calendar. The financial statements filed with the annual return comprise the profit and loss account, a balance sheet signed by at least two directors, and the notes, accompanied where the circumstances require by the management report, the auditors' report, the non-financial report and the report on payments to governments. A company is exempt from filing financial statements in the year of its incorporation, and in the year following incorporation if it already held a general meeting during the year of incorporation. Small-sized and medium-sized companies are excluded from filing a management report.
Deadline
Counted from an event, not from the calendar.
Extensions and exceptions: A company may extend the reference date of its annual return by up to three months by notifying the Registrar before the current deadline expires.
If missed
The Registrar's Late Filing page states that overdue filing of the annual return, where the reference date is for the year 2021 or later, is subject to a late filing fee not exceeding fifty euros (EUR 50) upon the first day of non-compliance and a further charge of one euro (EUR 1) for every day the failure to comply continues, up to a maximum of one hundred and fifty euros (EUR 150), under the Companies (Amendment) Law N.18(I)/2024. The Registrar's Annual Return Filing Fee page states the same charge as fifty euros (EUR 50) upon the first day, one euro (EUR 1) for every day for the first six months, rising to two euros (EUR 2) for every day thereafter, up to a maximum of five hundred euros (EUR 500). Two pages of the same registry are not reconciled here, so the numeric fields are left empty.
State fee
€20 — €60
The fee for filing the annual return is EUR 20. A further EUR 20 is payable if the accelerated procedure is requested, and a further EUR 20 is imposed on an overdue filing in addition to the late filing fee. The range covers the plain fee and the fee with both surcharges.
Proof of filing
The annual return shown as registered in the company's file at the Registrar of Companies, giving its reference date and the date of registration, together with the financial statements filed with it.

Annual confirmation of beneficial owner information in the Register of Beneficial Owners

Fixed date
Filed to
Department of Registrar of Companies and Intellectual Property — Register of Beneficial Owners of Corporate and other Legal Entities
Who it applies to
Only registered foreign entities
Companies incorporated under the Companies Law Cap. 113, European public limited-liability companies (SEs) and partnerships must confirm their beneficial owner information electronically to the Registrar during the period from 1 October to 31 December of each calendar year. The confirmation is made once within that window, and a change occurring after the confirmation does not require a further confirmation for that year. Two separate one-off duties sit alongside it: a newly registered entity must file its beneficial owners onto the register no later than ninety days from the date of its registration or incorporation, and a change in beneficial owner information must be filed within forty-five days from the date the change was brought to the entity's attention.
Deadline
31 December, every year. A calendar date fixed by statute, independent of the financial year.
Extensions and exceptions: The confirmation window opens on 1 October. In earlier cycles the Registrar repeatedly extended the submission and confirmation deadlines by directives (K.D.P. 401/2023, K.D.P. 34/2024, K.D.P. 120/2024 and K.D.P. 423/2024), so an extension has been granted in practice more than once even though the announced deadline is a calendar date. No extension has been announced for the current cycle.
If missed
A fine of one hundred euros (EUR 100) is imposed for the first day of non-compliance and a further fine of fifty euros (EUR 50) for each day of continuation, up to a maximum aggregate of five thousand euros (EUR 5,000). The company or other legal entity bears the fine, and its directors or managing officers are jointly and/or severally liable with it, except for an officer who exercised due diligence on compliance and whose act, omission or negligence did not cause the violation. The regime rests on the Prevention and Suppression of Money Laundering and Terrorist Financing Law 188(I)/2007 and on K.D.P. 112/2021, and the fines have applied since 1 February 2025.
Proof of filing
The electronic confirmation receipt produced by the Registrar's Beneficial Ownership Register system, showing the entity, the calendar year confirmed and the date of confirmation.
Primary source: Department of Registrar of Companies and Intellectual Property — When should I enter the details in the register (90 days from incorporation, 45 days from a change, confirmation between 1 October and 31 December); FAQ's-UBO's, Penalties (EUR 100 plus EUR 50 per day, cap EUR 5,000, in force from 1 February 2025, Law 188(I)/2007 and K.D.P. 112/2021); announcement of 25 August 2025, Confirmation of beneficial owners' information for the year 2025

Company income tax return (form T.D.4), submitted through TAXISnet

Formula, not a date
Filed to
Tax Department of the Republic of Cyprus (Ministry of Finance), through the TAXISnet system
Who it applies to
Every entity in the jurisdiction
A company registered for income tax submits a company income tax return on form T.D.4 through TAXISnet for each tax year. The return is submitted fifteen months after the end of the tax year: the Government of Cyprus business portal gives the worked example that the return for 2016 is submitted by 31 March 2018. Because the Cyprus tax year is the calendar year, the deadline falls on a calendar date and is not an offset from the company's own accounting reference date.
Deadline
31 March — but not of the year that follows. The deadline falls 2 years after the end of the tax year it covers: the return for 2025 is due 31 March 2027.
If missed
No current penalty figure for late submission of the company income tax return was verified. The Tax Department's own pages on mof.gov.cy, gov.cy and tax.gov.cy could not be retrieved on 4 September 2026 (robots.txt refusal and HTTP 403), and no amount is recorded from memory. The numeric fields are left empty.
Proof of filing
The TAXISnet submission receipt for form T.D.4, showing the tax year covered and the date of submission.

First instalment of temporary (provisional) income tax for the current tax year

Fixed date
Filed to
Tax Department of the Republic of Cyprus (Ministry of Finance)
Who it applies to
Every entity in the jurisdiction
A company that expects taxable profit for the current tax year declares an estimate of that profit and pays temporary tax on it in two equal instalments, on 31 July and on 31 December of the same tax year. This record covers the first instalment; the second is recorded as a separate obligation so that neither date can be lost behind the other. Whether an additional charge arises where the estimate turns out to be too low was not verified on 4 September 2026 and is deliberately not stated here.
Deadline
31 July, every year. A calendar date fixed by statute, independent of the financial year.
If missed
No current penalty or surcharge figure for late payment or under-estimation of temporary tax was verified, because the Tax Department's own pages could not be retrieved on 4 September 2026. The numeric fields are left empty rather than filled from memory.
Proof of filing
The temporary tax declaration for the tax year and the payment shown as received by the Tax Department for that year, with the payment reference.

Second instalment of temporary (provisional) income tax for the current tax year

Fixed date
Filed to
Tax Department of the Republic of Cyprus (Ministry of Finance)
Who it applies to
Every entity in the jurisdiction
The second of the two equal instalments of temporary tax on the estimated profit of the current tax year, payable on 31 December of that same tax year. It is recorded separately from the 31 July instalment so that a single date cannot stand in for two obligations. Whether an additional charge arises where the estimate turns out to be too low was not verified on 4 September 2026 and is deliberately not stated here.
Deadline
31 December, every year. A calendar date fixed by statute, independent of the financial year.
If missed
No current penalty or surcharge figure for late payment or under-estimation of temporary tax was verified, because the Tax Department's own pages could not be retrieved on 4 September 2026. The numeric fields are left empty rather than filled from memory.
Proof of filing
The payment of the second instalment shown as received by the Tax Department against the tax year, with the payment reference, alongside the temporary tax declaration for that year.

VAT registration and the periodic VAT return (form T.D.1004) through TAXISnet

Formula, not a date
Filed to
Tax Department of the Republic of Cyprus, VAT service, through the TAXISnet system
Who it applies to
Only above a threshold — revenue ≥ 15600 EUR
Registration becomes compulsory where taxable transactions exceed EUR 15,600 over the twelve preceding months, or where transactions above that amount will be carried out within the next thirty days. Once registered, the taxable person submits a VAT declaration on form T.D.1004 through TAXISnet and pays the tax due by the tenth day of the second month following the end date of its tax period. The tax period is assigned on registration, so the actual date of each return depends on data the company holds and not on the calendar alone. The offset recorded in the due field — one month and ten days from the end of the tax period — is an approximation of that rule and can fall a day out; the rule in words governs.
Deadline
Counted from an event, not from the calendar.
No date can be derived here. This deadline runs from something this page does not know — the financial year the company itself elects, or an event only you can date. What is published is the rule, not the day.
If missed
No current penalty figures for late VAT registration, late submission of a VAT return or late payment were verified: the Tax Department's VAT pages on mof.gov.cy and gov.cy could not be retrieved on 4 September 2026 (robots.txt refusal and HTTP 403). No amount is recorded from memory and the numeric fields are left empty.
Proof of filing
The VAT registration certificate showing the effective date of registration and the VAT number, together with the TAXISnet receipt for each T.D.1004 return and the tax period it covers.
