What a company files in Portugal [PT]

Every entry below is the rule as Portugal publishes it. It is a reference, not a calendar: where a deadline runs from something only you know, this page says so instead of showing a date.

A template, not your deadline

This is the rule as published by the registry, checked against the primary source on the date shown. It is not your filing date. Where a deadline runs from incorporation, from a fiscal year the company itself elects, or from an event only you know about, no date can be derived here at all — the figure you see is the formula, not the answer. Extensions, transitional regimes and entity-specific exemptions are not reflected. Confirm with the registry before you rely on a date.

How the financial year is set — Fixed by statute

The tax period is the calendar year by force of law and not by the company's choice. Article 8 of the Corporate Income Tax Code provides that the tax is owed by tax period and that the period «coincide com o ano civil». A company may move away from that, but only on the conditions the same article sets: paragraph 2 lets a legal person with its seat or effective management in Portugal «adotar um período anual de imposto diferente do estabelecido no número anterior», which «deve coincidir com o período social de prestação de contas» and «devendo ser mantido durante, pelo menos, os cinco períodos de tributação imediatos». A permanent establishment of a non-resident entity may make the same choice on the same terms. Paragraph 3 lifts the five-period lock where the taxpayer comes to belong to a group obliged to prepare consolidated financial statements whose parent uses a different period. Because the calendar year is the statute's own rule, and departing from it costs an alignment with the accounting year plus a five-period commitment, the annual duties below carry printed dates rather than formulas. Each of those duties also states, in its own wording, the formula that replaces the printed date for a company that has taken the option, since the two deadlines are counted differently: the income tax return runs to the last day of the fifth month after the period ends, and the accounting and tax information return to the fifteenth day of the seventh month.

Autoridade Tributária e Aduaneira, Código do IRC, artigo 8.º (Período de tributação), consolidated text on the Portal das Finanças: the tax «é devido por cada período de tributação, que coincide com o ano civil»; paragraph 2, in the wording of Lei n.º 42/2016, allows an annual period «diferente do estabelecido no número anterior» which «deve coincidir com o período social de prestação de contas», «devendo ser mantido durante, pelo menos, os cinco períodos de tributação imediatos»; paragraph 3, in the wording of Lei n.º 2/2014, disapplies that lock for a taxpayer joining a group «obrigado a elaborar demonstrações financeiras consolidadas» whose parent adopts a different period. · checked 2026-10-17

Annual corporate income tax return (declaração Modelo 22)

Fixed date
Filed to
The Autoridade Tributária e Aduaneira, by electronic transmission of data through the Portal das Finanças. Article 120 of the Corporate Income Tax Code sets the date in absolute terms: the return «deve ser enviada, anualmente, por transmissão electrónica de dados, até ao último dia do mês de Maio,» «independentemente de esse dia ser útil ou não útil.» A company that has adopted a tax period other than the calendar year does not use that date: paragraph 2 sends it to «o último dia do 5.º mês seguinte à data do termo desse período», again whether or not that day is a business day. The balance of the tax rides on the same deadline rather than on a date of its own, because article 104 puts the final payment «Até ao último dia do prazo fixado para o envio da declaração periódica de rendimentos», so a return filed on time without the money is not the duty discharged.
Who it applies to
Every entity in the jurisdiction
The taxpayers that article 117 of the same code makes subject to the periodic income return, which in practice means every company resident in Portugal and every permanent establishment of a non-resident entity. There is no turnover floor below which the return stops being owed: a company that traded nothing in the year still has a tax period and therefore still has a filing window. Article 117 does carve out cases in which the return is not required of certain exempt entities; those exceptions were not read in a primary source for this entry, so the scope above is stated as the general rule and not as an exhaustive one.
Deadline
31 May, every year. A calendar date fixed by statute, independent of the financial year.
Extensions and exceptions: The statutory date is the last day of May, and that is the date printed above. It has nonetheless been moved later, year after year, by a despacho of the Secretary of State for Tax Affairs, and the Tax Authority's own fiscal calendar for 2026 shows the annual Modelo 22 not in May but in June: «DURANTE O MÊS E ATÉ AO DIA 30 DE JUNHO». An extension of that kind is announced during the year and carries no promise for the next one, so it is not something to plan against: work to the last day of May and treat any later date as a reprieve that has to be confirmed on the Tax Authority's own calendar for the year in question.
If missed
The general tax offences regime applies rather than a penalty inside the income tax code. Article 116 of the Regime Geral das Infrações Tributárias punishes the absence of a return, or its submission after the legal deadline, with a fine «de € 150 a € 3750». The range is what the article prints; where inside it a particular case falls is not something this entry states, and the reductions and aggravations that the same regime attaches to negligence, to voluntary regularisation and to repeat conduct were not read in a primary source here. Nothing is asserted about interest on the tax itself, which is a separate matter from the fine for the late return.
Proof of filing
The comprovativo de entrega that the Portal das Finanças returns for the submitted Modelo 22, carrying the identification of the return, the tax period it covers and the date and time of submission, together with the payment document generated for the balance and the proof that it was paid. Keep the approved accounts the return was built from alongside it, since those are what the figures must reconcile to if the return is later reviewed.
Primary source: Autoridade Tributária e Aduaneira, Código do IRC, artigo 120.º (Declaração periódica de rendimentos), consolidated text on the Portal das Finanças, paragraph 1 «até ao último dia do mês de Maio, independentemente de esse dia ser útil ou não útil» and paragraph 2 «até ao último dia do 5.º mês seguinte à data do termo desse período»; amendments shown: Lei n.º 71/2018, Lei n.º 114/2017, Lei n.º 2/2014. Article 104.º (Regras de pagamento), at https://info.portaldasfinancas.gov.pt/pt/informacao_fiscal/codigos_tributarios/CIRC_2R/Pages/irc104.aspx, places the final payment «Até ao último dia do prazo fixado para o envio da declaração periódica de rendimentos». The June date described under the extension is taken from the Tax Authority's fiscal calendar of declarative obligations, https://info.portaldasfinancas.gov.pt/pt/apoio_contribuinte/calendario_fiscal/Documents/Obrigacoes_declarativas.pdf, which lists the annual Modelo 22 as «DURANTE O MÊS E ATÉ AO DIA 30 DE JUNHO»; the despacho granting that extension was not itself read.

Annual accounting and tax information return and registration of the accounts (IES/DA)

Fixed date
Filed to
One electronic submission on the Portal das Finanças that serves two authorities at once. For the tax side it is the Autoridade Tributária e Aduaneira, under article 121 of the Corporate Income Tax Code, whose paragraph 2 says the return «deve ser enviada, por transmissão electrónica de dados, até ao dia 15 de Julho» whether or not that day is a business day, and whose paragraph 3 sends a company with a tax period other than the calendar year to «o 15.º dia do 7.º mês posterior à data do termo desse período». For the registry side it is the commercial registry, through the Instituto dos Registos e do Notariado, which registers the prestação de contas from the same filing and states the same count: «até ao 15.º dia do 7.º mês posterior à data do termo do exercício económico». Two things about the registry side change what has to be organised in advance. Only one person may submit it — «Apenas o contabilista certificado das entidades sujeitas a registo de prestação de contas» — so the filing passes through the entity's certified accountant and not through its directors. And the submission generates a payment reference afterwards: until the fee is paid the registration is not made, so a submission receipt on its own is not the duty discharged.
Who it applies to
Every entity in the jurisdiction
Two overlapping populations reached by one filing. On the tax side, the taxpayers that article 117 of the Corporate Income Tax Code makes subject to the annual accounting and tax information return. On the registry side, the entities that the registry describes as «sujeitas a registo de prestação de contas», which is the ordinary position of a commercial company registered in Portugal. Size changes what has to be attached and whether an auditor's report accompanies the accounts, but not the duty itself. This entry deliberately states no audit threshold: the figures for it sit in the commercial companies code, which could not be read in a primary source when this entry was collected, and an unverified threshold is worse than none.
Deadline
15 July, every year. A calendar date fixed by statute, independent of the financial year.
If missed
For the tax side, article 116 of the Regime Geral das Infrações Tributárias punishes the absence of a return, or its submission after the legal deadline, with a fine «de € 150 a € 3750». For the registry side no figure is given here: the registry page read for the deadline, the filer and the fee says nothing about the consequences of a late or missing registration, and no primary source for a registry sanction was read for this entry. That silence should not be read as there being none — a registration that is owed and not made is the kind of default that tends to show up when the entity next needs the registry to act — only that no figure is printed where none could be verified.
State fee
€80
The fee belongs to the registry half of the filing, not to the tax half: nothing is charged for the accounting and tax information itself. The registry states «80 € - se o registo for relativo a exercício económico igual ou superior a 2012», and gives 85 € where the registration concerns a financial year of 2011 or earlier, which is the figure to use only for a very old year being filed late. It is paid against the reference the service generates after submission, and the registration follows the payment rather than the submission.
Proof of filing
Three documents belong together here, because the filing discharges two duties. The Portal das Finanças submission receipt for the IES, showing the financial year it covers and the date and time of submission. The payment reference generated afterwards and the proof that it was paid, which is what turns the submission into a registration. And the registry confirmation of the registered prestação de contas, which is the document a bank, a counterparty or a buyer will ask for rather than the tax receipt.

The registry half — the deadline «até ao 15.º dia do 7.º mês posterior à data do termo do exercício económico», the restriction «Apenas o contabilista certificado das entidades sujeitas a registo de prestação de contas», the fee «80 € - se o registo for relativo a exercício económico igual ou superior a 2012» and the multibanco reference generated after submission — is from the Instituto dos Registos e do Notariado service page Registar prestação de contas, https://registo.justica.gov.pt/Empresas/Registar-prestacao-de-contas. The July date also appears in the Tax Authority's calendar of declarative obligations, https://info.portaldasfinancas.gov.pt/pt/apoio_contribuinte/calendario_fiscal/Documents/Obrigacoes_declarativas.pdf, as «DURANTE O MÊS E ATÉ AO DIA 15 DE JULHO».

Periodic value added tax return (declaração periódica de IVA)

Formula, not a date
Filed to
The Autoridade Tributária e Aduaneira, electronically on the Portal das Finanças, once for each settlement period. Which period applies is decided by last year's turnover rather than by choice. Article 41 of the value added tax code puts a taxable person with a «volume de negócios igual ou superior a 650 000 € no ano civil anterior» on monthly returns, filed «Até ao dia 20 do 2.º mês seguinte àquele a que respeitam as operações», and a taxable person with a «volume de negócios inferior a 650 000 € no ano civil anterior» on quarterly returns, filed «Até ao dia 20 do 2.º mês seguinte ao trimestre do ano civil a que respeitam as operações». A quarterly filer may opt into monthly filing and must then keep it for at least three years. One date in the year is not where the formula puts it: paragraph 9 of the same article sets 20 September for both the June monthly return and the second-quarter return, so the summer pair arrives together and the ordinary count does not describe them.
Who it applies to
Only registered foreign entities
A taxable person registered in the normal regime files for every period, including a period with no operations, since the return is what reports that there were none. No turnover threshold is stated in the structured fields above, and the omission is deliberate. The code does have an exemption regime: article 53, in the wording amended by Decreto-Lei n.º 35/2025 de 24 de março, exempts taxable persons with their seat or domicile in national territory who «não tenham atingido, no ano civil anterior, um volume de negócios anual em território nacional superior a 15 000 €.» But that article carries further conditions beyond the turnover figure, and those conditions were not read in a primary source when this entry was collected. Printing 15 000 € as the applicability threshold would therefore assert something not verified: whether a company, as opposed to an individual, can sit inside that regime at all turns on exactly the conditions that were not read. The 650 000 € figure quoted in the wording above is not an applicability threshold either — it decides monthly against quarterly, not whether the return is owed.
Deadline
Counted from an event, not from the calendar.
No date can be derived here. This deadline runs from something this page does not know — the financial year the company itself elects, or an event only you can date. What is published is the rule, not the day.
If missed
Article 116 of the Regime Geral das Infrações Tributárias punishes the absence of a return, or its submission after the legal deadline, with a fine «de € 150 a € 3750», and a periodic value added tax return is a return for that purpose. Nothing is asserted here about the separate and heavier consequences of having charged tax and not paid it over, which that regime treats as a different offence: those provisions were not read in a primary source for this entry. The practical point to hold instead of a second figure is that the filing and the payment are distinct, and the fine range above answers only the first.
Proof of filing
For each period, the submission receipt the Portal das Finanças returns for the declaração periódica, showing which period it covers and the date and time of submission, together with the payment document and the proof of payment where the period ends in tax to pay. Keep them in period order rather than by payment date: the question that comes up on review is whether every period in a run has a return, and a set filed in order answers it at a glance.
Primary source: Autoridade Tributária e Aduaneira, Código do IVA, artigo 41.º (Prazo de entrega das declarações periódicas), consolidated text on the Portal das Finanças: paragraph 1 point a) «Até ao dia 20 do 2.º mês seguinte àquele a que respeitam as operações» for a «volume de negócios igual ou superior a 650 000 € no ano civil anterior», point b) «Até ao dia 20 do 2.º mês seguinte ao trimestre do ano civil a que respeitam as operações» for a «volume de negócios inferior a 650 000 € no ano civil anterior»; paragraph 2 on the option for monthly filing for at least three years; paragraph 9 setting 20 September for the June monthly return and the second-quarter return. Amendments shown on the page: Lei n.º 12/2022 de 27 de junho and Lei n.º 24-D/2022 de 30 de dezembro. The exemption figure discussed in the scope note is from artigo 53.º of the same code, https://info.portaldasfinancas.gov.pt/pt/informacao_fiscal/codigos_tributarios/civa_rep/Pages/artigo-53-o-do-civa.aspx, paragraph 1, «não tenham atingido, no ano civil anterior, um volume de negócios anual em território nacional superior a 15 000 €.», in the wording listed as amended by Decreto-Lei n.º 35/2025 de 24 de março; only that paragraph was read.

Annual confirmation of the central register of beneficial ownership (RCBE)

Fixed date
Filed to
The Instituto dos Registos e do Notariado, through the Registo Central do Beneficiário Efetivo service. What is owed each year is a confirmation rather than an update, and it is owed even when nothing has changed: the registry states «A confirmação anual da informação constante no RCBE deve ser feita até 31 de dezembro de cada ano.» and its guide adds that it is due «mesmo que não existam alterações» to the data already declared. There are two ways to satisfy it. It can be made in the RCBE service itself, or it can travel with the annual accounting and tax information return — the guide says «A confirmação anual pode ser submetida com a Informação Empresarial simplificada», in which case it refers to the previous calendar year. It is also dispensed with where the entity has already updated its RCBE information during the same calendar year, so an entity that changed a shareholder in March has nothing separate to do in December. Who may submit it is restricted: a legal professional, a manager or director, a member of the board, or a holder of a power of attorney, and a declaration made by someone without standing is treated as not validated rather than as merely defective.
Who it applies to
Every entity in the jurisdiction
The guide puts the population broadly: the declaration is to be made «por todas as entidades constituídas em Portugal», and it extends to entities that intend to do business there. No size, turnover or activity test narrows it, and an entity that did nothing in the year still owes the confirmation, because what is being confirmed is who stands behind it rather than what it did. The initial declaration is a separate duty from this annual one and runs on its own clock: «A declaração inicial deve ser feita no prazo de 30 dias» from the event that triggers it.
Deadline
31 December, every year. A calendar date fixed by statute, independent of the financial year.
If missed
No amount is asserted here. The official guide refers the consequences of «o incumprimento do dever de declarar informação suficiente, exata e atual» to article 37 of the legal regime governing the register, without setting those consequences out, and that article was not read in a primary source for this entry. What the sources read do make clear is the shape of the exposure rather than its size: the register is the instrument through which a counterparty, a bank or a notary checks who stands behind the entity, so a register left unconfirmed is a problem that surfaces at the moment the entity needs someone to rely on it, which is rarely a moment of its own choosing.
State fee
€0 — €15
The register itself is free: «O Registo de Beneficiário Efetivo é gratuito.» The upper figure above is not the normal case and should not be budgeted for. It applies only to assisted completion at an IRN counter — «exceto quando a declaração é feita com recurso a preenchimento assistido» — which the guide prices at 15 euro and at the same time reports as unavailable at present. The guided online completion is free, so for any entity doing this itself the cost is nil.
Proof of filing
The receipt the RCBE service returns for the confirmation, carrying its date, which is what shows the year was covered. Where the confirmation travelled with the annual accounting and tax information return instead, the receipt for that filing is what carries it, so keep the two together and note on the file which route was used — a year confirmed through the tax filing leaves nothing in the register's own submission history to point at. Where the annual confirmation was dispensed with because the information was updated earlier in the same calendar year, the receipt for that update is the evidence that stands in its place, and it is worth labelling as such at the time rather than reconstructing the reasoning a year later.
Primary source: Instituto dos Registos e do Notariado, service page Declarar o Beneficiário Efetivo: «A confirmação anual da informação constante no RCBE deve ser feita até 31 de dezembro de cada ano.»; the initial declaration «deve ser feita no prazo de 30 dias»; the confirmation «pode ser submetida no Portal das Finanças com a Informação Empresarial Simplificada (IES)»; the exemption where an update was already filed in the same calendar year; the persons with standing to declare; and «O Registo de Beneficiário Efetivo é gratuito.» The companion Guia do Registo Central do Beneficiário Efetivo, https://justica.gov.pt/Guias/guia-do-registo-central-do-beneficiario-efetivo-rcbe, adds that the declaration is made «por todas as entidades constituídas em Portugal», that the confirmation is owed «mesmo que não existam alterações», that «A confirmação anual pode ser submetida com a Informação Empresarial simplificada», that the register is free «exceto quando a declaração é feita com recurso a preenchimento assistido» priced at 15 euro and currently unavailable, and that the consequences of «o incumprimento do dever de declarar informação suficiente, exata e atual» are those of article 37 of the governing regime, which the guide does not reproduce.

Payments on account of corporate income tax (pagamentos por conta)

Formula, not a date
Filed to
The Autoridade Tributária e Aduaneira. This is a payment and not a return, which is why it is easy to overlook: nothing is filed, so nothing arrives to remind anyone. Article 104 of the Corporate Income Tax Code requires the tax of a period to be paid «Em três pagamentos por conta, com vencimento em Julho, Setembro e 15 de Dezembro do próprio ano» to which the taxable profit relates, so the three instalments fall inside the year being taxed rather than after it. The article prints a day for the third only: the first two are placed in July and in September without a day being stated in the text read. The day printed above comes from the Autoridade Tributária's own payment calendar for 2026, which lists the instalments on 31 July, 30 September and 15 December. That calendar is administrative practice, not the wording of the law, which is why the date is marked as indicative. The balance under the same article is paid «Até ao último dia do prazo fixado para o envio da declaração periódica de rendimentos», so it rides on the income tax return date and not on a date of its own.
Who it applies to
Every entity in the jurisdiction
The amount is not a forecast of this year's profit but a percentage of last year's tax, which is what makes it predictable and also what makes it due before anyone knows whether this year will earn it. Article 105 computes it «com base no imposto liquidado» for the immediately preceding tax period, net of the deduction in article 90, and splits the result by the size of that period's turnover: where turnover «seja igual ou inferior a (euro) 500 000» the three instalments together come to 80 % of that tax, and where it «seja superior a (euro) 500 000», to 95 %, each instalment «arredondados, por excesso, para euros». The article read sets out no exemption and no floor below which the instalments are not owed, so the scope above is stated as general; because the percentages bear on the previous period's assessed tax, the arithmetic for a taxpayer with no such tax is a question for the article rather than something this entry answers. Paragraphs 4 to 8 of the same article deal with tax periods shorter than twelve months and with the group regime and were not read in full for this entry.
Deadline
31 July, every year. A calendar date fixed by statute, independent of the financial year.
If missed
No amount is asserted here, and the reason matters. The offences provision read for the other entries in this jurisdiction punishes the absence or lateness of a declaration, and an instalment is not a declaration: missing it is a failure to pay, which the tax offences regime treats separately and which also attracts interest. Neither the provisions on late payment nor those on compensatory interest were read in a primary source for this entry, so the fields are left empty rather than filled by analogy with the fine for a late return. The practical exposure is best understood as running money — interest accruing from the due date — rather than as a single sum fixed at the moment of default.
Proof of filing
The payment document generated for each of the three instalments and the proof that each was paid, kept together with the previous period's income tax return from which the amount was computed, since that return is what the figure has to reconcile to if the calculation is questioned. Because nothing is filed, there is no submission receipt to rely on: the payment proofs are the whole record, and a missing one for a single instalment is not visible anywhere else.

The computation is from artigo 105.º of the same code, https://info.portaldasfinancas.gov.pt/pt/informacao_fiscal/codigos_tributarios/CIRC_2R/Pages/irc105.aspx: calculated «com base no imposto liquidado» of the immediately preceding period, 80 % where turnover «seja igual ou inferior a (euro) 500 000» and 95 % where it «seja superior a (euro) 500 000», in three equal instalments «arredondados, por excesso, para euros»; paragraphs 4 to 8 were not read in full.
